Terms of Service

1. Agreement to Terms

By registering for an account, creating or joining a workspace, or using DEVOXN ("Service"), you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have full legal authority to bind that entity to these terms.

2. Description of Service & Operational Role

DEVOXN is a software-as-a-service (SaaS) operational management platform providing centralized tracking for business licenses, insurance policies, vendor contracts, digital certificates, and recurring corporate obligations.

No Professional Advice: DEVOXN is an administrative software tool and does not provide legal, contractual, insurance, regulatory, tax, or financial advice. You should consult qualified legal counsel and compliance professionals for interpreting agreements, evaluating notice provisions, or negotiating commercial contracts.

3. Workspace Accounts & Access Governance

You are responsible for safeguarding your authentication credentials and managing multi-tenant access within your organization. Workspace owners and administrators manage team invitations, assign member roles (Owner, Admin, Member, Viewer), and configure data access permissions. You agree to notify us immediately of any unauthorized access to your workspace.

4. Subscriptions, Trials & Commercial Billing

DEVOXN offers subscription tiers (Starter, Growth, Business, and custom Enterprise) with defined resource allocations for monitored renewal items, team seats, and document storage.

• 7-Day Free Trial: Eligible new accounts may access a 7-day trial with preview capabilities. When a trial expires without an active paid subscription, the workspace enters a read-only locked state. Cataloged data remains safely preserved, while mutations require an active paid subscription.
• Merchant of Record: All commercial checkout, recurring payment processing, invoicing, and tax handling are conducted via our Merchant of Record, Paddle. Subscriptions are billed in advance on a recurring monthly basis.
• Plan Modifications & Prorations: You may change or upgrade your subscription tier at any time from workspace billing settings. Upgrades can take effect immediately with proration or at the end of the current billing cycle.
• Cancellations: You may cancel your subscription at any time via the Customer Portal inside your workspace settings. Cancellation halts future recurring charges, and your workspace maintains full access through the end of the paid billing period.
• Refunds: Cancellations do not automatically generate a refund. Refund eligibility is governed by our Refund Policy, which allows refund requests within 7 calendar days of payment.

5. Reminder & Notification Service Disclaimers

DEVOXN includes automated background dispatchers engineered to send email notifications prior to configured milestone deadlines. However, because email delivery relies on third-party networks, receiving mail transfer agents, spam filters, and internet transit:

• Operational Aid Only: Automated reminders are provided solely as an operational convenience and assistance mechanism. DEVOXN does not warrant or guarantee that any reminder email will be successfully delivered, delivered without delay, or avoid recipient spam or junk mail filtering.
• User Responsibility for Data Accuracy: You maintain sole and exclusive responsibility for the completeness, accuracy, and validity of all renewal dates, cancellation notice windows, and designated recipient email addresses cataloged in your workspace.
• Independent Verification: You are expressly advised to maintain independent operational records and verification mechanisms for critical, high-value, or statutory deadlines. DEVOXN shall not be liable for any missed cancellation windows, auto-renewed commercial contracts, or lapsed licenses.
• Network & Upstream Disruptions: Scheduled alerts may be delayed or impeded by third-party infrastructure outages, network partitions, or mail server rejections beyond our reasonable control.

6. Acceptable Use & Prohibited Conduct

You agree to use DEVOXN only for legitimate business purposes. You agree not to:

• Upload malicious code, viruses, corrupted files, or harmful attachments.
• Attempt unauthorized access to other tenants' data or circumvent Row Level Security boundaries.
• Reverse engineer, decompile, or disassemble any portion of the service.
• Circumvent plan quotas, storage allocations, or rate limiting mechanisms.
• Store unlawful, defamatory, infringing, or fraudulent materials.

7. Customer Data Ownership & Document Vault

You retain all ownership, intellectual property rights, and title to the contracts, licenses, documents, and data you upload to DEVOXN. You grant DEVOXN a limited, non-exclusive license strictly to host, transmit, and process this data to provide the Service to your authorized workspace members. DEVOXN and its licensors retain all right, title, and interest in and to the DEVOXN software platform, codebase, design, and trademarks.

8. Disclaimer of Warranties

To the maximum extent permitted by applicable law, DEVOXN is provided on an "as-is" and "as-available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or entirely secure.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall DEVOXN, its directors, officers, employees, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or related to your use of or inability to use the Service, even if advised of the possibility of such damages.

Aggregate Liability Cap: To the maximum extent permitted by applicable law, the aggregate liability of DEVOXN arising out of or related to these Terms or the Service shall not exceed the total amounts actually paid by you to DEVOXN for the Service in the twelve (12) months preceding the event giving rise to liability, or one hundred U.S. dollars ($100), whichever amount is greater.

10. Indemnification

You agree to defend, indemnify, and hold harmless DEVOXN and its affiliates from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your uploaded content, or your violation of applicable laws.

11. Governing Law and Jurisdiction

These Terms will be governed by and interpreted in accordance with applicable law. The governing law, legal entity, and jurisdiction applicable to DEVOXN will be specified once DEVOXN is formally organized as a legal entity.

12. Modifications & Contact

We reserve the right to update these Terms from time to time to reflect product enhancements, legal requirements, or operational changes. We will provide advance notice of material revisions by updating the "Last Updated" date and, where feasible, notifying account owners via email. Continued use of the Service following revisions constitutes acceptance of the updated Terms.
